Terms of service

Effective Date: September 13, 2026

These Terms of Use (“Terms”) govern your access to and use of the Hat Theory website, online store, products, content, and related services (collectively, the “Site”).

The Site is operated by Hat Theory (“Hat Theory,” “we,” “us,” or “our”).

By accessing the Site, placing an order, submitting content, or otherwise using the Site, you agree to these Terms, our Shipping & Returns Policy, Privacy Policy, Disclaimer, and any other policies or notices made available through the Site.

If you do not agree to these Terms, do not use the Site or purchase products from us.

1. Eligibility and Use of the Site

Our products are intended for adults and are not marketed or directed to children.

You must be legally capable of entering into a binding transaction to place an order through the Site. If you are under the age of majority in your jurisdiction, you may use the Site only with the permission, involvement, and supervision of a parent or legal guardian.

By placing an order, you represent that the information you provide is accurate and that you are authorized to use the payment method submitted with the order.

2. Our Store and Service Providers

Hat Theory sources and commissions its products from manufacturers and sells those products directly to customers.

Our online store is hosted through Shopify. We use NextSmartShip as our warehousing, order-fulfillment, and shipping provider. Products are stored and fulfilled through NextSmartShip facilities in China and are transported to customers through applicable shipping carriers and delivery partners.

We also use Judge.me to facilitate customer reviews and related user-generated content.

Shopify, NextSmartShip, Judge.me, payment providers, shipping carriers, and other parties involved in processing or delivering an order are independent third-party service providers and are not the seller of Hat Theory merchandise.

Your purchase is made from Hat Theory.

3. Products and Product Descriptions

We make reasonable efforts to display and describe our products accurately. However, photographs, illustrations, colors, proportions, appearance, packaging, and other visual representations may vary depending on lighting, photography, manufacturing tolerances, device displays, and production runs.

Minor variations that do not materially affect the intended appearance, function, or use of a product are not considered defects.

Our costume apparel is offered as an adult one-size-fits-most product unless otherwise expressly stated on the applicable product page. “One size fits most” does not mean that the product is guaranteed to fit every body type, height, proportion, or personal fit preference.

Customers are responsible for reviewing all product descriptions, dimensions, sizing information, photographs, and other information provided before purchasing.

4. Orders

Submission of an order does not constitute our final acceptance of that order.

We reserve the right, to the extent permitted by law, to accept, reject, cancel, limit, or place a hold on an order for reasons including:

  • suspected fraud or unauthorized payment;

  • incorrect pricing or product information;

  • inventory or fulfillment problems;

  • shipping restrictions;

  • suspected resale, abuse, or misuse;

  • an invalid or incomplete shipping address;

  • technical errors; or

  • circumstances that prevent us from lawfully or reasonably fulfilling the order.

If we cancel an order after payment has been collected and before merchandise has been shipped, we will issue any refund required by applicable law to the original payment method.

5. Preorders and Seasonal Availability

Orders placed before the date on which inventory becomes available for fulfillment may constitute preorders even if the Site's purchase button is not specifically labeled “Preorder.”

For the 2026 Halloween season, orders placed before October 1, 2026 are advance orders for merchandise scheduled to begin shipping on or after October 1, 2026.

Full payment is collected when the order is placed.

Additional preorder, fulfillment, delivery, cancellation, and delay terms are provided in our Shipping & Returns Policy and are incorporated into these Terms.

6. Prices and Payment

Prices are displayed in U.S. dollars unless otherwise indicated.

You agree to pay the price displayed at checkout, together with applicable shipping charges, taxes, and other disclosed charges.

We reserve the right to correct typographical, technical, or pricing errors. If an error materially affects an order that has already been placed, we may contact you for instructions or cancel and refund the affected order as permitted or required by law.

Payment must be successfully authorized before an order may be fulfilled.

7. Taxes, Duties, and Import Charges

Orders are currently offered only for eligible United States delivery addresses made available through checkout.

Our standard international fulfillment method from the China warehouse is shipped on a Delivery Duty Paid (“DDP”) basis. Hat Theory or its logistics providers are responsible for applicable import duties and customs charges associated with the DDP shipment.

Customers should not ordinarily be separately charged import duties upon delivery for an order shipped using our designated DDP service.

This does not affect sales tax or other taxes collected at checkout where required.

8. Shipping

Shipping times, handling times, tracking information, delivery estimates, lost-package procedures, address responsibilities, and related requirements are governed by our Shipping & Returns Policy.

Delivery estimates are estimates and are not guaranteed event-delivery dates unless Hat Theory expressly states otherwise in writing.

9. Order Changes and Cancellations

Cancellation rights depend on when the order is placed and whether the order is a preorder or has entered fulfillment.

For preorders and other deferred-fulfillment purchases, cancellation is governed by our Purchase Options Cancellation Policy, which is incorporated into these Terms by reference.

For the 2026 Halloween season, preorders scheduled for fulfillment beginning October 1, 2026 may ordinarily be canceled through September 29, 2026 at 11:59 p.m. Eastern Time, subject to the complete terms of the Purchase Options Cancellation Policy.

Beginning September 30, 2026, preorder merchandise is considered committed to our upcoming automated fulfillment process and is not ordinarily eligible for voluntary cancellation.

For orders placed on or after October 1, 2026, customers may request cancellation only before fulfillment begins. Because orders may be transmitted automatically to our fulfillment provider, NextSmartShip, cancellation cannot be guaranteed unless and until Hat Theory confirms it.

Once fulfillment has begun, an order cannot be canceled through our ordinary cancellation process.

Hat Theory does not modify merchandise selections on submitted orders. If a change is needed, the original order must first be successfully canceled while cancellation remains available and a new order must then be placed.

Nothing in this section limits cancellation or refund rights required by applicable law, including rights arising from an inability to ship within an applicable promised shipment timeframe.

10. Returns and Refunds

Returns, refunds, damaged-item claims, missing-item claims, incorrect-item claims, unauthorized refused deliveries, return shipping charges, seasonal return deadlines, and related requirements are governed exclusively by our Shipping & Returns Policy, subject to rights that cannot legally be waived.

Because Hat Theory sells specialty seasonal Halloween merchandise, all merchandise is final sale except for approved defective/damaged/incorrect/nonconforming claims and remedies required by law.

You should review the Shipping & Returns Policy before purchasing.

11. No Exchanges

Hat Theory does not offer conventional merchandise exchanges.

If an eligible return is approved, the applicable item will be handled under our Shipping & Returns Policy.

Where an approved defective or incorrect-item claim is resolved through replacement, the replacement may be processed as a separate order.

12. Customer Reviews and User-Generated Content

The Site may permit customers to submit reviews, ratings, photographs, videos, comments, or other material through Judge.me or other functionality made available on the Site.

By submitting content, you represent and warrant that:

  • the content reflects a genuine experience where represented as a customer review;

  • the content is accurate to the best of your knowledge;

  • you own the content or have all necessary rights and permissions to submit it;

  • the content does not infringe another person's copyright, trademark, privacy, publicity, or other rights;

  • the content does not contain unlawful, fraudulent, defamatory, threatening, harassing, hateful, obscene, or misleading material;

  • the content does not contain malicious code, spam, unauthorized advertising, or personal information belonging to another person without permission; and

  • your submission complies with applicable Judge.me requirements.

Reviews and other content submitted through Judge.me may also be governed by Judge.me's own terms and policies.

By submitting user-generated content through the Site, you grant Hat Theory a non-exclusive, worldwide, royalty-free license, to the extent permitted by applicable law and the functionality through which the content was submitted, to display, reproduce, distribute, repost, and use that content in connection with operating, promoting, and marketing Hat Theory and its products.

You retain any ownership rights you otherwise hold in your content.

We reserve the right to moderate, decline to display, report, or remove content where permitted by law and applicable platform rules. We do not promise to remove a review merely because it is negative.

13. Prohibited Uses

You may not use the Site:

  • for any unlawful or fraudulent purpose;

  • to impersonate another person;

  • to submit false payment, identity, shipping, return, refund, or claim information;

  • to interfere with the security or operation of the Site;

  • to introduce malicious software or code;

  • to scrape, harvest, or systematically collect Site data without authorization;

  • to attempt unauthorized access to accounts, systems, or information;

  • to infringe intellectual-property, privacy, publicity, or other rights;

  • to submit fabricated evidence in connection with a purchase, shipping claim, return, refund, or product claim;

  • to manipulate customer reviews or ratings;

  • to use automated systems in a manner that disrupts the Site; or

  • for any other purpose that violates these Terms or applicable law.

We may restrict access, cancel orders, reject claims, or take other appropriate action in response to suspected fraud or abuse, subject to applicable law.

14. Fraudulent or Fabricated Claims

Information provided in connection with an order, return, delivery dispute, damaged-product claim, sizing claim, or refund request must be truthful and authentic.

Photographs, videos, documents, screenshots, or other evidence submitted in support of a claim must accurately depict the merchandise or circumstances at issue.

Materially manipulated, fabricated, AI-generated, or deceptively altered evidence may result in denial of a claim after review.

We may request additional information or original, unedited documentation when reasonably necessary to evaluate suspected manipulation or fraud.

Nothing in this section permits us to deny rights or remedies that a customer is legally entitled to receive.

15. Intellectual Property

Except for third-party materials and rights expressly identified or otherwise belonging to their respective owners, the Site and its original content, including Hat Theory branding, logos, artwork, graphics, text, photographs, layout, design, and other original materials, are owned by or licensed to Hat Theory and are protected by applicable intellectual-property laws.

You may use the Site for personal, noncommercial shopping and informational purposes.

You may not reproduce, modify, distribute, sell, commercially exploit, or create unauthorized derivative works from Hat Theory-owned content without permission.

16. Parody, Fictionalization, and Third-Party References

Certain products, images, descriptions, characters, stories, themes, cultural references, or other Site content may involve parody, satire, fictionalization, memes, popular culture, or references to real-world persons or entities.

Our separate Disclaimer applies to these materials and is incorporated into these Terms by reference.

Unless expressly stated otherwise, Hat Theory is not affiliated with, sponsored by, approved by, authorized by, or endorsed by any public figure, celebrity, politician, organization, company, or other real-world person or entity referenced or depicted in connection with the Site or our products.

Third-party names, trademarks, photographs, likenesses, and other protected materials remain the property of their respective owners.

17. Third-Party Services

The Site may rely upon or interact with third-party services such as Shopify, Judge.me, NextSmartShip, payment processors, shipping carriers, and other service providers necessary to operate the store and fulfill customer orders.

Those services may be governed by their own terms and policies.

We are not responsible for independent third-party websites, services, systems, or content except to the extent responsibility cannot legally be excluded or the conduct of a third party forms part of an obligation Hat Theory owes directly to you.

18. Site Availability

We may modify, suspend, discontinue, restrict, or update portions of the Site at any time.

We do not guarantee that the Site will always be available, error-free, uninterrupted, or free of technical problems.

Temporary Site unavailability does not affect orders or consumer rights that have already arisen under applicable law.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and its informational and entertainment content are provided on an “as available” and “as is” basis.

We do not warrant that the Site will operate without interruption or error or that every piece of Site content will always be complete or current.

Nothing in these Terms excludes any warranty, protection, or consumer right that cannot legally be waived or excluded.

20. Limitation of Liability

To the maximum extent permitted by law, Hat Theory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use the Site.

For claims arising from the purchase of merchandise, nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

We do not disclaim responsibility for obligations that applicable consumer-protection law places directly on Hat Theory as the seller.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Hat Theory harmless from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Site, your infringement of another person's rights, your fraudulent conduct, or content you submit in violation of these Terms.

This provision does not apply to claims resulting from Hat Theory's own conduct where liability cannot lawfully be shifted to the customer.

22. Termination or Restriction of Access

We may restrict or terminate access to the Site where we reasonably believe a user has engaged in fraud, abuse, unlawful activity, interference with Site operations, or a material violation of these Terms.

Termination does not eliminate rights or obligations arising from previously completed transactions.

23. Governing Law

These Terms and your use of the Site are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law principles, except where the mandatory laws of another jurisdiction apply and cannot legally be waived.

Subject to applicable law, disputes not resolved informally may be brought in a court of competent jurisdiction located in New Jersey.

24. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions will continue in effect.

25. No Waiver

Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or any other provision later.

26. Changes to These Terms

We may update these Terms from time to time.

Changes will become effective when the revised Terms are posted unless another effective date is stated.

Changes will not retroactively eliminate rights that a customer acquired under the version of the Terms applicable to a completed transaction where doing so would be prohibited by law.
